Preparations for the annual general meetings of shareholders
In accordance with the Federal Law No. 208-ФЗ “On Joint-Stock Companies” dated December 26, 1995, active work began on preparing for the annual general meeting of shareholders in 2019. Notifications with proposals on the agenda of the annual general meeting of shareholders and nomination of state representatives were sent to joint stock companies whose shares are in state ownership of the Republic of Tatarstan and (or) in respect of which a decision was made to use a special right (“golden share”). management and control of joint stock companies for the 2019-2020 corporate year. A total of 141 state representatives and 17 independent directors to 82 joint stock companies were nominated.
Annual general meetings of shareholders are held no earlier than two months and no later than six months after the end of the reporting year.
We remind you that in accordance with Federal Law No. 209-FZ of July 19, 2018 “On Amendments to the Federal Law“ On Joint-Stock Companies ”, changes were made to the law that affected the rules on audit commissions, general shareholders meeting, interested-party transactions , boards of directors.
In this regard, we recommend that joint-stock companies make appropriate changes to their charters.
