The federal law provides for the specifics of the conclusion of large transactions by an autonomous non-profit organization
On October 7, 2022, the President of the Russian Federation signed Federal Law No. 393-ФЗ “On Amendments to the Federal Law “On Non-Commercial Organizations”.
The federal law provides for the specifics of the conclusion of major transactions by an autonomous non-profit organization, if the settlement accounts of such an organization have funds from the budgets of the budget system of the Russian Federation.
It is established that a major transaction can be made only with the prior consent of the founders (founder) or the collegiate supreme governing body of an autonomous non-profit organization in the manner prescribed by the constituent documents of this organization.
In particular, it is provided that in the decision on preliminary consent to the conclusion of a major transaction, the persons who are the party (parties) of such a transaction, the beneficiary (beneficiaries), the price, the subject of the major transaction and its other essential conditions or the procedure for their determination must be indicated.
In addition, the Federal Law defines the conditions for invalidating a major transaction made by an autonomous non-profit organization in violation of the established procedure.
