Standard of the Civil Code of the Russian Federation, connected with legal entities came into force

     Since September 1, 2014 No. 99-FZ "About modification of chapter of the 4th part one of the Civil code of the Russian Federation and about recognition become invalid for separate provisions of acts of the Russian Federation" came into force the majority of provisions of the Federal law of 05.05.2014.  Now legal entities will have to be created only in the organizational and legal forms provided by chapter 4 of the Civil Code of the Russian Federation in edition of this Law.

     Organizational and legal forms of legal entities are - economic societies, economic associations, economic partnership, production cooperatives, joint-stock companies, limited liability companies, consumer cooperatives, public organizations, associations and the unions, associations of owners of real estate, the Cossack societies, communities of the indigenous small people, funds, establishments, autonomous non-profit organizations, the religious organizations, the public companies, full association, a general partnership (limited partnership), corporations, the state and municipal unitary enterprises, country (farmer) farms.

     Legal entities created earlier will have to bring the names and constituent documents into accord with new requirements at the first change of constituent documents. Before reduction in compliance these documents will work in the part which isn't contradicting new edition of chapter 4 of the Civil Code of the Russian Federation.

In the new edition chapters 4 of the Civil Code of the Russian Federation the new organizational and legal form of non-profit organization - association of owners of real estate is created.

     Since 01.09.2014 economic societies are divided on public and nonpublic. The joint-stock companies which actions and securities converted in such actions publicly take place (by an open subscription) treat the first or publicly address on the conditions established by laws on securities. Regulations on public societies are applied also to joint-stock companies, the charter and which trade name contain the instruction that society is public.

Limited liability companies and joint-stock companies that do not answer signs of public society treat as nonpublic societies.

     Of 05.05.2014 No. 99-FZ are provided by the federal law also other changes in the Civil Code of the Russian Federation, regulating questions, including connected with education, reorganization and elimination of legal entities.
